  • preparing a normalized EBITDA cash flow analysis;
  • evaluating the business for disposition of shares or assets;
  • reviewing the evaluation with you;
  • discussing with you the approach to take on price, terms, retention, employment contracts, non-compete/non-solicitation agreements, etc.;
  • preparing a confidential information memorandum and supporting financial/ information package;
  • identifying prospective purchasers and pre-clearing them with you;
  • presenting opportunity to pre-approved potential purchasers;
  • arranging for the execution of a confidentiality agreement;
  • soliciting offers from potential purchasers;
  • reviewing offers received with you and your lawyer and accountant;
  • negotiating the offer and assisting with the due diligence;
  • assisting your lawyer in finalizing the Agreement for Sale; and,
  • whatever else is required to bring the deal to a satisfactory conclusion.
